Terms of Use

By accessing or using the Site, you acknowledge that you have read, understood, and agree to be bound by these Terms and all applicable laws and regulations. These Terms constitute a binding agreement between you and Adviao. We may update them from time to time as described in Section 14, and your continued use of the Site after an update constitutes acceptance of the revised Terms.

The Site is intended for business and professional audiences and is not directed to children under 18. By using the Site, you represent and warrant that you are at least 18 years of age. If you use the Site on behalf of an organization, you represent that you are authorized to accept these Terms on that organization's behalf, in which case "you" refers to both you and that organization.

These Terms govern only your use of the Site. Adviao's products and services — including CIS™ (Contract Intelligence System) and FIN™ (Field Information Notes) — are made available under a separately executed customer agreement, and your use of those products is governed by that agreement and the data processing terms it incorporates, not by these Terms. Our collection and use of information through the Site is described in our Privacy Policy.

Subject to your compliance with these Terms, Adviao grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Site for your own internal business, professional, or personal informational purposes. This license does not include any right to resell or commercially exploit the Site or its content, to use the Site for competitive analysis or benchmarking, or to use any data mining, robots, or similar data gathering and extraction tools, except as expressly authorized in writing by Adviao.

You agree not to use the Site to, and not to permit any third party to:

• Violate any applicable law, regulation, or third-party right;
• Access, tamper with, or use non-public areas of the Site, Adviao's systems, or the technical delivery systems of our providers;
• Probe, scan, or test the vulnerability of any system or network, or breach or circumvent any security or authentication measures;
• Introduce any malware, viruses, or other harmful code, or interfere with or disrupt the integrity or performance of the Site;
• Scrape, harvest, or collect information about other users or about the Site through automated means without authorization;
• Reverse engineer, decompile, or attempt to derive the source code or underlying structure of any part of the Site, except to the extent such restriction is prohibited by law;
• Misrepresent your identity or affiliation, or impersonate any person or entity;
• Use the Site in any manner that could damage, disable, overburden, or impair it, or infringe Adviao's or any third party's intellectual property or other rights.

The Site and all content, features, and functionality on it — including text, graphics, logos, designs, layouts, software, and the selection and arrangement thereof — are owned by Adviao or its licensors and are protected by United States and international intellectual property laws. "Adviao," CIS™, FIN™, and related names, logos, and product and service names are trademarks of Adviao. Nothing in these Terms grants you any right or license to use any Adviao trademark, and you may not use them without our prior written permission. All rights not expressly granted are reserved.

When you request a demonstration, submit an inquiry, or otherwise contact us through the Site, you are responsible for the accuracy of the information you provide and for ensuring you have the right to share it. Unless covered by a separate written confidentiality or customer agreement, information you submit through the Site is not treated as confidential.

If you provide suggestions, ideas, or other feedback about the Site or Adviao's products, you grant Adviao a perpetual, irrevocable, worldwide, royalty-free license to use and incorporate that feedback for any purpose, without any obligation or compensation to you.

The Site is hosted on a third-party platform (Squarespace), and certain technical functions of the Site — including page delivery, security, and platform-provided analytics — are performed by that platform. The Site may also rely on other third-party services, such as Google Fonts for typography, and may contain links to third-party websites or resources. Adviao does not control and is not responsible for the content, policies, or practices of any third-party platforms, services, or websites. Your use of third-party services and websites is at your own risk and subject to their respective terms.

The Site and all content on it are provided "as is" and "as available," without warranties of any kind, whether express, implied, or statutory, including any implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement. Adviao does not warrant that the Site will be uninterrupted, secure, error-free, or free of harmful components, or that any content is accurate, complete, or current.

Content on the Site is provided for general informational purposes only and does not constitute professional, legal, engineering, financial, or other advice. Demonstrations and descriptions of CIS™ and FIN™ are illustrative and do not constitute a commitment to any specific feature, result, or outcome. You should not rely on the Site as a substitute for advice from a qualified professional.

To the maximum extent permitted by applicable law, in no event will Adviao or its officers, directors, employees, or agents be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, data, goodwill, or business opportunities, arising out of or relating to your use of (or inability to use) the Site, whether based in contract, tort, negligence, strict liability, or any other legal theory, even if advised of the possibility of such damages.

To the maximum extent permitted by applicable law, Adviao's total aggregate liability arising out of or relating to the Site or these Terms will not exceed one hundred U.S. dollars (US$100). Some jurisdictions do not allow the exclusion or limitation of certain damages, so some of the above limitations may not apply to you.

You agree to indemnify, defend, and hold harmless Adviao and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or related to your use of the Site, your violation of these Terms, or your violation of any law or the rights of any third party.

These Terms and any dispute arising out of or relating to them or the Site are governed by the laws of the Commonwealth of Pennsylvania, without regard to its conflict-of-laws principles. Subject to Section 13, you agree that the state and federal courts located in Pennsylvania will have exclusive jurisdiction and venue over any such dispute, and you consent to the personal jurisdiction of those courts.

Before initiating any formal proceeding, you agree to first contact us at info@adviao.com and attempt in good faith to resolve the dispute informally. We will make a good-faith effort to do the same. If a dispute is not resolved within sixty (60) days of notice, either party may pursue available remedies in accordance with Section 12. Nothing in this section prevents either party from seeking injunctive or equitable relief to protect its intellectual property or confidential information.

We may modify, suspend, or discontinue all or part of the Site at any time without notice. We may also revise these Terms from time to time. When we do, we will update the "Last updated" date above, and material changes will be communicated by reasonably prominent means. Your continued use of the Site after the effective date of any revised Terms constitutes acceptance of those changes.

We may suspend or terminate your access to the Site at any time, with or without notice, for any reason, including if we believe you have violated these Terms. Upon termination, the license granted to you in Section 4 ends, and the provisions that by their nature should survive — including Sections 6 through 13 and 16 — will continue to apply.

These Terms, together with the Privacy Policy, constitute the entire agreement between you and Adviao regarding the Site and supersede any prior agreements on that subject. If any provision is found unenforceable, the remaining provisions will remain in full effect. Our failure to enforce any provision is not a waiver of it. You may not assign these Terms without our prior written consent; we may assign them in connection with a merger, acquisition, or sale of assets. Section headings are for convenience only.
